Vjerujem da su se mnogi ljudi u poslovnom svijetu susreli s nekim oblikom transakcije prodaje dru\u0161tva kroz razli\u010dite strukture. Zanimljiv aspekt koji bih ukratko istaknuo iz perspektive odvjetnika odnosi se na otpornu generaciju poduzetnika koja je svoje poslove pokretala 1990-ih godina i koja sada, sasvim zaslu\u017eeno i uz osje\u0107aj zdravog umora, zaklju\u010duje da je vrijeme da netko drugi nastavi taj put. Naravno, nerealno bi bilo uspore\u0111ivati hrvatska obiteljska poduze\u0107a s divovima poput Walmart, Volkswagen ili L\u2019Or\u00e9al, koji pripadaju kategoriji te\u0161ka\u0161a. Me\u0111utim, hrvatske poslovne pri\u010de jednako su zanimljive same po sebi jer u su\u0161tini odra\u017eavaju iste narative, samo s manjim brojkama nego u drugim dijelovima svijeta.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Mo\u017ee se \u010diniti da su moji profesionalni dojmovi u suprotnosti s uvrije\u017eenim stavom da su obiteljska poduze\u0107a najotpornija u uvijek zahtjevnom poduzetni\u010dkom okru\u017eenju. Ipak, iz iskustva sve \u010de\u0161\u0107e primje\u0107ujem prodaju obiteljskih poduze\u0107a u Hrvatskoj umjesto njihova prijenosa na nasljednike. Za\u0161to je tomu tako? Ovaj format ne dopu\u0161ta detaljan esej, stoga \u0107u ukratko navesti dominantne razloge onako kako ih sami vlasnici poduze\u0107a iznose. Naj\u010de\u0161\u0107e ka\u017eu: \u201eMoja djeca ne \u017eele nastaviti ovaj posao, a ja vi\u0161e nemam s kim raditi.\u201d Kada se to prevede na jezik psihologije i poslovanja, postaje jasno da nasljednici, odnosno mla\u0111a, obrazovanija i globalno usmjerenija generacija, ne \u017eele istu razinu stresa i odricanja kao njihovi roditelji, \u0161to je u potpunosti razumljivo.\u00a0<\/p>

Dodatno, manjak radne snage u mnogim industrijama, zajedno sa sklono\u0161\u0107u preseljenju u potrazi za boljim prilikama, pla\u0107ama i okru\u017eenjem, navodi obiteljske poslodavce na zaklju\u010dak da se \u017eivotni ciklus njihova poslovanja pribli\u017eava kraju, osobito kako godine donose manju fleksibilnost u prilagodbi novim okolnostima.<\/p>

Zanimljivo je istaknuti statistike koje pokazuju da 43 posto obiteljskih poduze\u0107a nema plan naslje\u0111ivanja, dok samo 18 posto aktivno uklju\u010duje svoje nasljednike u teku\u0107e poslovanje. Tako\u0111er treba spomenuti da teret vo\u0111enja dugoro\u010dnog poslovanja ponekad mo\u017ee naru\u0161iti obiteljsku ravnote\u017eu i odnose, pa ne \u010dudi manjak motivacije za naslje\u0111ivanje ne\u010dega \u0161to je mo\u017eda pridonijelo generacijskim ili sukobima me\u0111u bra\u0107om i sestrama.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

It should also be mentioned that the burden of running a long term business can sometimes disrupt family balance and relationships, so it is not surprising that there is a lack of motivation to inherit something that may have contributed to generational or sibling conflicts. The Familiar Path of an M&A Transaction Today, it is somewhat easier to follow the structure of a typical M&A process, as we have grown accustomed to its familiar sequence. Why Croatia\u2019s First Generation of Entrepreneurs Is Ready to Exit The interesting angle I would briefly highlight from a lawyer\u2019s perspective concerns a resilient generation of entrepreneurs who started their businesses in the 1990s and are now, quite deservedly and with a sense of healthy fatigue, concluding that it is time for someone else to continue the journey. The Succession Gap: No Plan, No Next Generation It may seem that my professional impressions conflict with the common view that family businesses are the most resilient in an always challenging entrepreneurial environment. Yet based on experience, I increasingly observe the sale of family owned businesses in Croatia rather than their transfer to heirs. Why is that the case? This format does not allow for a detailed essay, so I will briefly list the dominant reasons as expressed by business owners themselves. Most often, they say: \u201cMy children do not want to continue this line of work, and I no longer have anyone to work with.\u201d When translated into the language of psychology and business, it becomes clear that successors, meaning the younger, more educated and more globally oriented generation, do not want the same level of stress and sacrifice as their parents, which is entirely understandable.\u00a0 Additionally, labor shortages across many industries, combined with a tendency to relocate in pursuit of better opportunities, salaries and environments, lead family employers to conclude that their business lifecycle is nearing its end, especially as age brings reduced flexibility in adapting to new realities. It is interesting to note statistics showing that 43 percent of family owned companies have no succession plan, while only 18 percent actively involve their heirs in ongoing business operations. It should also be mentioned that the burden of running a long term business can sometimes disrupt family balance and relationships, so it is not surprising that there is a lack of motivation to inherit something that may have contributed to generational or sibling conflicts.
